Injunctive Relief
Memorial Physicians Inc., 232 N. Main St., is seeking judicial
administration of the winding up of its corporate affairs. MPI, a
for-profit professional corporation, voluntarily dissolved Oct. 4.
Operations ceased Sept. 2. Prior to cessation of operations, MPI
incurred substantial secured and unsecured debt, state court documents.
The matter filed with the Clerk of Courts states that as of June 30,
assets totaled $1,343,403 and liabilities totaled $2,620,273. The
six-month period ending June 30 had net revenues of $4,407,839 and a net
loss of $223,840. As of Nov. 4, unsecured debt, consisting primarily of
trade payables to various supplies, was $1,350,000. Secured debt in
excess of $250,000 was owed to Sky Bank.
MPI is asking the court to appoint a receiver; approve a proof of claims
procedure; order a settlement of all claims by creditors; and determine
the rights of holders of shares to assets.
Thomas McConnell, D.O. is president of the MPI board. Directors include
McConnell of Marysville, Dr. Holly Recob of Mount Victory, Dr. Timothy
Coss of Marysville, Dr. Patrick Snyder of Marysville and Norman Renner
of Irwin.
The court appointed Martin Management Services of Columbus as receiver
on Nov. 14. MPI is requesting that Dennis Schulze serve as legal counsel
and HealthServe collect accounts receivable. Accounts receiveable on the
books are reportedly in excess of $1.2 million.
HealthServe will be paid $15,000 for the first half of November from the
existing MPI account at Sky Bank; $10,000 from collections after Sky
receives a payment of $135000; and $15,000 from collections after Sky
receives an additional payment of $50,000. After Sky Bank is paid in
full then HealthServe will receives $45,000 a month through December;
and $10,000 a month until the conclusion of collections.

Cases recently filed with the Union County Clerk of Courts:
Breach of Contract
North Union Education Association of Prospect v. North Union Local Board
of Education of Richwood.
The case alleges a violation of the master agreement between the
parties. The plaintiff is reportedly the sole bargaining agent for all
regular contract non-certified employees in the school district and for
all full-time and part-time certified employees.
Melanie Price is member of the bargaining unit represented by the
plaintiff and was a certified employee at North Union Elementary School.
The principal Lisa Wolfe, an agent or representative of the defendant,
allegedly issued Price a letter of reprimand Sept, 30, 2004, allegedly
based on a complaint against Price. According to the plaintiff, the
defendant breached the master agreement with the reprimand.
The plaintiff is asking the court to find that the defendant breached
the master agreement and order that the reprimand be removed from
Price's file and order any other relief.
Appropriation
Ohio Department of Transportation of Columbus v. Charles and Carol Gaul

The case alleges that the plaintiff is authorized and empowered by the
revised code to appropriate property for public use. The plaintiff
intends to obtain the property to construct a highway or interstate open
for the use of the public, but is allegedly unable to agree with all of
the owner of the property to be appropriated.
The plaintiffs are seeking the court to find that the plaintiff has
acted in compliance to the Ohio Revised Code and enter a judgment
ordering the conveyance of the property to Ohio.
